COMPLIANCE WITH LAWS & REGULATIONS
Selling or marketing of some of our product range falls under Regulation 46 of "The Human Medicines Regulations 2012", which states:
1. A person may not sell or supply, or offer to sell or supply, an unauthorised medicinal product.
2. A person may not sell or supply, or offer to sell or supply, a medicinal product otherwise than in accordance with the terms of—
(a) a marketing authorisation;
(b) a certificate of registration;
(c) a traditional herbal registration; or
(d) an Article 126a authorisation.
10. Paragraphs (1) and (2) do not apply to the sale, supply, or offer for sale or supply, of an investigational medicinal product to a person specified in regulation 13(1) of the Clinical Trials Regulations for the purposes of administering that product in a clinical trial, provided that the conditions specified in regulation 13(2) of those Regulations are satisfied.

Regulation 13 of "The Medicines for Human Use (Clinical Trials) Regulations 2004" states:
1. No person shall, in the course of a business carried on by him, sell or supply any investigational medicinal product to—
(a) an investigator,
(b) a health care professional who is a member of an investigator’s team,
(c) a person who provides or is to provide health care under the direction or control of a person referred to in sub-paragraphs (a) and (b), or
(d) a subject,
for the purpose of administering that product in a clinical trial, unless the conditions specified in paragraph (2) are satisfied.
2. The conditions referred to in paragraph (1) are—
(a) the licensing authority has authorised the clinical trial for the purposes of which the product is sold or supplied;

WARRANTY AND LIABILITY
i) WE warrant that OUR products conform to the description of such products as provided to YOU by US on OUR website. This warranty is a substitution for and (to the extent permitted by English Law) excludes all other conditions and warranties, whether as to quality or fitness for any particular purpose or otherwise, whether express or implied by statue, common law or otherwise.
ii) WE are not liable under the warranty in clause i) in the event that YOU mis-use the products in any manner, fail to use the products in accordance with industry standards and practices, or fail to use the products in accordance with instructions, if any, furnished by US or these conditions.
iii) OUR sole and exclusive liability and YOUR exclusive remedy with respect to products proved to be defective or non-conforming to the warranty in clause i) shall be replacement of such products without charge or a refund of the purchase price, at OUR sole discretion, upon the return of such products in accordance with OUR instructions.
iv) WE will not in any event be liable for any loss of profits, loss of business opportunity or any indirect, incidental, or consequential losses of any kind resulting from any use or failure of the products, even if YOU have been advised of the possibility of such.
v) WE warrant to YOU that to the best of OUR knowledge OUR products are produced in compliance with applicable statutory requirements.

YOUR USE OF PRODUCTS
i) OUR products are intended for laboratory research purposes only and are not to be used for any other purposes, including but not limited to, in vitro diagnostic purposes, in foods, drugs, medical devices or cosmetics for humans or animals, or for commercial purposes including resale to third parties.
ii) YOU acknowledge that the products have not been tested by US for safety and efficacy in food, drug, medical device, cosmetic, commercial, or any other use.
iii) YOU expressly represent and warrant to US that YOU will properly test, use, manufacture and market any products purchased from US and/or materials produced with products purchased from US in accordance with the practices of a reasonable person who is an expert in the field and in strict compliance with all applicable laws and regulations, now and hereinafter enacted.

YOUR INDEMNITY
i) YOU agree to indemnify and hold harmless US, OUR employees, agents, successors, offices and assigns, from and against any claims, demands, liabilities, accidents, incidents, costs and expenses (including reasonable legal costs and accounting fees) that WE may sustain or incur as a result of any breach of YOUR obligations in clause "YOUR USE OF PRODUCTS".

INTELLECTUAL PROPERTY WARRANTY
i) WE warrant to YOU that to the best of OUR knowledge OUR products do not infringe the intellectual property or other proprietary rights of any third party.
ii) WE will defend the intellectual property rights in connection with OUR products and website, including copyright in the content, whether provided by US or by any other content provider (including copyright in: text, graphics, logos, icons, images, audio clips, digital downloads, data, and software).
iii) WE claim copyright in the designs and compilation of all content of OUR website. Title and ownership rights shall remain the sole property of US and / or the other content providers.  WE will protect those rights in all countries.
iv) YOU may not copy, modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, or in any way exploit any of the content, in whole or in part.
v) YOU may not use our name or logos or trade-marks or any other content on any website of YOURS or that of any other person.
